DigiCare User Agreement

This User Agreement (the “Terms”) is a binding agreement between you and Brennan Consulting and Digital Services, doing business as DigiCare (“DigiCare,” “we,” “us,” or “our”). These Terms govern access to and use of the DigiCare telephone assistance service, website, account features, and related services (collectively, the “Service”).
“Subscriber” means the person who purchases a plan. “Authorized User” means the Subscriber or another adult whom the Subscriber has permitted to use the Service under that plan. “You” means the Subscriber and, as applicable, each Authorized User.
Important points at a glance
Cimo is an AI assistant. You may be interacting with an automated system, not a human. DigiCare may offer human escalation in some situations, but a human response is not guaranteed.
Not for emergencies. Do not use DigiCare for emergencies or urgent threats. Call 911 or the appropriate local emergency service.
No guaranteed scam detection. The Service may miss a scam, misclassify a legitimate communication, or provide incomplete or incorrect information.
Not professional advice. DigiCare does not provide legal, financial, investment, tax, medical, mental-health, law-enforcement, or professional cybersecurity advice.
Protect sensitive information. Never give DigiCare a password, personal identification number, authentication code, recovery code, full payment-card number, or complete bank-account number.
Recurring subscription. Paid plans renew automatically at the interval and price disclosed at checkout until canceled.
Calls may be recorded and transcribed. You will receive an automated notice when recording or transcription applies. If you do not consent, end the call and use an available non-call contact method.
Verify consequential decisions. Before sending money, disclosing sensitive information, installing software, granting device access, or changing an account, contact the relevant organization through independently verified contact information.
This summary highlights important terms but does not replace the full Terms below. If there is a conflict, the full Terms control.
1. Acceptance of these Terms
You accept these Terms when you select an acceptance checkbox or button, purchase or renew a subscription, create or use an account, call or otherwise use the Service after being given notice of these Terms, or permit an Authorized User to use the Service. If you do not agree, do not purchase or use the Service.
If you accept on behalf of a business or another legal entity, you represent that you have authority to bind that entity. A Subscriber who enrolls an Authorized User is responsible for providing that person access to these Terms before use and for ensuring that the person understands the AI and recording notices described here.
Our Privacy Policy, presented during enrollment or available through the DigiCare website, explains how we collect, use, disclose, retain, and protect personal information. It is incorporated into these Terms by reference.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering a contract to subscribe to or use the Service. DigiCare is intended for personal and household use unless we agree otherwise in writing.
A Subscriber may authorize another adult, such as a parent or family member, to use the plan. The Subscriber represents that the Subscriber has permission to provide the Authorized User’s name, telephone number, and other enrollment information. An Authorized User does not obtain authority to change billing, cancel the plan, access account records, or act for the Subscriber unless DigiCare separately verifies that authority.
If you use the Service for or with another person, you are responsible for obtaining any permission required before sharing that person’s information or placing them on a recorded or transcribed call.
3. What DigiCare does
DigiCare provides general educational assistance by telephone and related channels. Depending on the features available with your plan, the Service may help you:
evaluate whether a call, text message, email, website, letter, or other communication shows common signs of fraud or deception;
understand general consumer-technology questions involving phones, televisions, home internet, accounts, or connected devices; and
request escalation to a human support contact when that option is available.
The Service is designed to provide general information and a second opinion. It does not monitor your accounts, devices, communications, or safety; block transactions; remove malware; investigate crimes; recover money; guarantee a response from any organization; or replace advice from a qualified professional.
Human escalation, if offered, may be limited to posted hours and may be unavailable. We do not promise any particular response time. DigiCare is not an emergency dispatch, alarm-monitoring, medical-alert, crisis-response, or protective service and has no duty to contact emergency services, financial institutions, family members, caregivers, or law enforcement on your behalf.
4. AI disclosures and limitations
The Service uses artificial intelligence (“AI”), including an AI telephone agent known as Cimo. AI-generated responses can sound confident even when they are wrong. The Service may misunderstand speech, context, names, numbers, accents, background noise, or the content you describe. It may fail to identify a scam or may incorrectly flag a legitimate communication.
DigiCare does not guarantee that the Service will be accurate, complete, current, secure, or suitable for a particular decision. You remain responsible for your decisions and actions. Do not rely on the Service as the only basis for any decision involving money, safety, health, legal rights, account access, device access, or disclosure of personal information.
When the Service suggests that you contact an organization, locate its contact information independently—for example, on the back of a payment card, on a statement you know is genuine, or on the organization’s official website. Do not use a phone number, link, or contact detail supplied by the suspicious message or caller.
5. Accounts, telephone numbers, and caller verification
You must provide accurate, current enrollment and billing information and promptly update it when it changes. You are responsible for telephone charges, data charges, and other fees imposed by your carrier or internet provider.
DigiCare may use the incoming caller-ID number and the telephone numbers associated with a subscription to recognize a caller and personalize the call. Caller ID can be blocked, changed, reassigned, or spoofed. A number match is therefore a convenience, not proof of identity or authority. DigiCare may request additional verification, limit account-specific information, or treat an unrecognized or blocked number as a non-subscriber.
You are responsible for controlling the telephone numbers associated with your plan and for promptly removing a number that is lost, transferred, reassigned, or no longer authorized. You must not use caller-ID manipulation or another person’s telephone number to obtain access.
We may allow limited demonstrations, trials, or calls from unrecognized numbers. Trial availability, duration, and functionality may change or end at any time. A trial does not create a right to continued access.
6. Subscription, automatic renewal, and payment
Paid plans are subscriptions. The price, billing interval, taxes, included features, and any trial or promotional terms are disclosed at checkout or in the order confirmation. By subscribing, you authorize DigiCare and its payment processor to charge the payment method on file at the start of each billing period until the subscription is canceled.
Your subscription renews automatically for successive periods of the same length unless you cancel before the next renewal charge. You may cancel at any time through the cancellation method identified at checkout, in your account or billing portal, or in your order or welcome email. Cancellation stops future renewal charges and takes effect at the end of the current paid billing period unless applicable law requires otherwise. You may continue to use paid features through that date, subject to these Terms.
Payments are nonrefundable. There are no partial-month refunds or prorated credits for partial billing periods, unused time, or unused calls, except where required by law or expressly stated in a written offer. If a charge fails, we may retry the payment, request an updated payment method, limit access, or suspend the subscription.
We may change future subscription prices or plan features. If we change the recurring price, we will provide advance notice and any consent or cancellation opportunity required by law. The new price applies no earlier than the next renewal identified in the notice. Promotional pricing ends according to the offer terms disclosed when you enroll.
If you believe a charge is incorrect, contact DigiCare promptly through the support method shown on the website, in your account, or in your billing email. Nothing in these Terms limits any non-waivable rights you have under applicable law.
7. Fair use
A plan described as “unlimited” allows ordinary, good-faith personal use; it does not permit automated calling, call-center use, resale, commercial support for unrelated customers, deliberate generation of excessive calls, or use that materially burdens the Service. Call time exceeding 1.5 hours per day on a sustained basis is outside ordinary use and may trigger a conversation with the Subscriber about usage, reasonable throttling, or suspension. This threshold is not an undisclosed per-call fee, and an isolated longer day will not automatically terminate a subscription.
We may also apply reasonable safeguards, including call-duration limits, concurrent-call limits, or temporary restrictions, to prevent abuse and preserve service for other users. Before restricting a paid plan for suspected excessive use, we will ordinarily try to provide notice and a reasonable opportunity to adjust use, unless immediate action is reasonably necessary to protect people, systems, service availability, or legal compliance.
8. Calls, recording, transcription, and communications
Calls may be processed by automated systems and may be recorded, transcribed, summarized, or analyzed to provide the Service; document the request; improve quality and safety; detect misuse; and comply with law. At the beginning of a call, DigiCare will provide notice when recording or transcription applies. By remaining on the call after that notice, you consent to the disclosed processing to the extent permitted by law. If you do not consent, end the call.
Do not add another person to a call or place a call on speakerphone where another person can be heard unless that person has received the recording and AI notice and has consented as required by applicable law. We may stop recording or end a call if consent is unclear.
Call content and related information are handled as described in the Privacy Policy. DigiCare may use service providers—including telecommunications, AI, hosting, analytics, customer-support, and payment providers—to process information on our behalf. DigiCare will not sell the contents of your calls. We may disclose information when authorized by you, to provide the Service, to protect rights or safety, to investigate misuse, in connection with a business transaction subject to appropriate safeguards, or as required by law.
We may send service, billing, security, and account communications to the contact information you provide. Marketing messages, if any, will be handled under applicable consent and opt-out requirements. You cannot opt out of communications reasonably necessary to administer an active subscription, but you may cancel the subscription.
9. Protecting sensitive information and making safer decisions
DigiCare will not ask you to disclose a password, personal identification number, one-time authentication code, recovery code, complete Social Security number, full payment-card number, or complete bank-account number during an ordinary support call. Do not disclose those items to the Service.
Never send money, purchase gift cards or cryptocurrency, deposit or return a check, install software, grant remote access to a device, share a screen, or move funds solely because a caller, message, website, or the Service told you to do so. Pause and independently verify the request with the relevant organization.
If you believe money or account access may be at immediate risk, contact the financial institution or service provider through independently verified contact information. For suspected identity theft, fraud, or crime, contact the appropriate government agency or law-enforcement authority. DigiCare cannot freeze an account, stop a transfer, file a police report, or guarantee recovery of funds.
10. Acceptable use
You may use the Service only for lawful, personal purposes and in accordance with these Terms. You must not:
use the Service to commit, facilitate, conceal, or plan fraud, harassment, abuse, exploitation, or another unlawful act;
impersonate another person or falsely claim authority over an account;
probe, disrupt, overload, reverse engineer, copy, scrape, or gain unauthorized access to the Service or related systems;
use automated dialing, bots, or similar means to access the Service without written permission;
upload or communicate malware, unlawful content, or material that infringes another person’s rights;
record, publish, resell, or commercially exploit the Service or its responses except as permitted by law or with our written permission;
threaten, harass, or abuse DigiCare personnel or service providers; or
use the Service for emergency dispatch, medical monitoring, professional practice, or another high-risk activity for which it was not designed.
You are responsible for information you submit and represent that you have the right to submit it. We may decline to process a request, provide a safety-oriented response, or end a call when we reasonably believe the request violates these Terms or creates a risk of harm.
11. Service availability and changes
The Service depends on telecommunications networks, internet connectivity, electricity, third-party vendors, software, and AI systems outside DigiCare’s direct control. Calls may fail, disconnect, be delayed, or have reduced quality. Maintenance, outages, security events, legal requirements, or vendor changes may limit availability.
We may add, modify, or discontinue features to improve the Service, respond to security or legal concerns, or adapt to vendor availability. If a change materially reduces the core functionality of a paid plan during a current billing period, we will provide any notice or remedy required by applicable law. We do not guarantee compatibility with every phone, carrier, device, accessibility tool, or communication format.
12. Third-party services
The Service may rely on or refer you to third-party products, websites, networks, or organizations. DigiCare does not control and is not responsible for their content, availability, security, privacy practices, statements, fees, or actions. A reference does not mean endorsement.
Your use of a third-party service is governed by that provider’s terms and privacy policy. You are responsible for independently verifying the identity and legitimacy of any third party before interacting with it. Payment processing may be handled by a third-party payment processor, and DigiCare does not receive or store your full payment-card number when the processor handles it directly.
13. Ownership, license, and feedback
DigiCare and its licensors own the Service, including software, workflows, prompts, designs, branding, logos, content, compilations, and other materials provided by DigiCare, except for material owned by users or third parties. Subject to these Terms, we grant you a limited, personal, revocable, nonexclusive, nontransferable license to use the Service during an active subscription or authorized trial.
You retain ownership of information and content you lawfully provide. You grant DigiCare and its service providers a limited license to host, transmit, reproduce, transform, analyze, and otherwise process that content only as reasonably necessary to provide, secure, maintain, and improve the Service; comply with law; and enforce these Terms, subject to the Privacy Policy.
If you voluntarily provide ideas or feedback, you grant DigiCare a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you as its source without permission.
14. Suspension and termination
You may stop using the Service at any time. Canceling a paid plan has the effect described in Section 6.
We may suspend, restrict, or terminate access if payment is overdue; information is materially inaccurate; use violates these Terms; use threatens a person, the Service, or a third party; we are required to act by law or a provider; or continued service is no longer operationally feasible. When reasonable, we will provide notice and an opportunity to address the issue. We may act immediately when delay could create harm, security risk, legal exposure, or material service disruption.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, dispute terms, and general provisions—will survive. Information may be retained or deleted as described in the Privacy Policy and applicable law.
15. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” DigiCare disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and results.
Without limiting the foregoing, DigiCare does not warrant that the Service will identify every scam, correctly assess every communication, prevent loss, recover funds, resolve a technology problem, operate without interruption, or be free from errors or harmful components. No oral or written statement creates a warranty unless it is expressly included in these Terms.
Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, the disclaimers apply only to the extent permitted by law, and you retain any rights that cannot legally be waived.
16. Limitation of liability
To the maximum extent permitted by law, DigiCare and its owners, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, opportunity, data, goodwill, or savings; unauthorized transactions; fraud losses; identity theft; device damage; account compromise; or the cost of substitute services, arising from or related to the Service, even if advised that such damages are possible.
To the maximum extent permitted by law, the total aggregate liability of DigiCare and the parties listed above for all claims arising from or related to the Service or these Terms will not exceed the amount you paid to DigiCare for the Service during the 12 months immediately before the event giving rise to the claim.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited, including liability for fraud, willful misconduct, or gross negligence where applicable law prohibits such a limitation. Your non-waivable consumer rights remain in effect.
17. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless DigiCare and its owners, officers, employees, and contractors from third-party claims, damages, losses, liabilities, and reasonable costs arising from your unlawful misuse of the Service, your material violation of these Terms, or content you submit in violation of another person’s rights.
This section does not require you to indemnify DigiCare for DigiCare’s own negligence, misconduct, or violation of law, and it does not apply where prohibited by consumer-protection law. We will provide reasonable notice of a covered claim and allow you to participate in its defense, provided DigiCare may control the defense and settlement and may not agree to a settlement that admits your wrongdoing or imposes a nonmonetary obligation on you without your consent.
18. Disputes and governing law
Before filing a lawsuit, you and DigiCare agree to make a good-faith effort for 30 days to resolve the dispute informally. A notice should describe the issue, the requested resolution, and contact information sufficient for a response. You may send notice through the current support contact published on the DigiCare website or in your account or billing communications. DigiCare may send notice to the contact information associated with your subscription.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, except that mandatory consumer-protection laws of your home jurisdiction continue to apply when they cannot be waived. Any lawsuit that is not brought in small-claims court will be brought in the state or federal courts located in Pima County, Arizona, to the extent the forum selection is enforceable. Either party may bring an eligible individual claim in small-claims court.
Nothing in this section prevents either party from seeking urgent injunctive relief for misuse of intellectual property, unauthorized system access, or an immediate threat to safety, and nothing limits a right to contact a regulator or government agency.
19. Changes to these Terms
We may update these Terms to reflect changes to the Service, law, safety practices, or business operations. For material changes, we will provide reasonable advance notice through the Service, website, email, billing communication, or another appropriate method. The notice will state when the revised Terms take effect.
If a material change requires your consent under applicable law, we will request it. Otherwise, continued use after the effective date constitutes acceptance of the revised Terms. Changes will not retroactively reduce rights or increase liability for events that occurred before the revised Terms took effect. If you do not agree to a change, you must stop using the Service and cancel before the change takes effect.
20. General provisions
Entire agreement. These Terms, the Privacy Policy, the checkout disclosures, and any plan-specific terms presented to you form the entire agreement concerning the Service and replace prior or contemporaneous statements on the same subject. If plan-specific terms conflict with these Terms, the plan-specific terms control only for that plan.
Order of precedence. A separately signed written agreement between you and DigiCare controls over these Terms to the extent of a conflict.
Assignment. You may not assign or transfer these Terms or a subscription without DigiCare’s written consent. DigiCare may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service, subject to applicable law and the Privacy Policy.
Severability. If a provision is held unenforceable, it will be enforced to the maximum lawful extent, and the remaining provisions will remain effective.
No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
No third-party beneficiaries. These Terms do not create rights for anyone other than you and DigiCare, except where they expressly protect DigiCare’s owners, personnel, licensors, or service providers.
Electronic communications. You agree that contracts, notices, disclosures, and other communications may be provided electronically. You may retain copies for your records.
Headings. Headings are for convenience and do not limit the meaning of a provision.
Force majeure. DigiCare is not responsible for delay or failure caused by events beyond its reasonable control, including telecommunications or power outages, natural disasters, labor disputes, governmental actions, cyberattacks, war, civil unrest, epidemics, or failures of third-party infrastructure, except where applicable law provides otherwise.
